1. Acceptance of Terms

By accessing or using Hyper AI Charts, HyperCharts, the website, dashboards, applications, features, APIs, tools, Telegram channels or groups, affiliate-gated areas, DarkHerd-related features, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not use the Service.

These Terms apply together with the Privacy Policy, Acceptable Use Policy, Disclaimer, Subscription & Purchase Terms, Commercial Disclosure under Japanese Law, and any other terms presented in connection with the Service.

  • summaries and newsletters;
  • HyperOracle research, signals, live-trading displays, and backtest displays;
  • HyperWind forecast or prediction research;
  • Optima price-distribution indicators;
  • Collatz-related indicators;
  • HyperProphet reinforcement-learning validation metrics and backtest charts;
  • DarkHerd market-cap, whitepaper, context-ingestion, and chat-over-context features;
  • delayed public data;
  • live or restricted data for approved users;
  • affiliate-gated access using a Bybit UID or similar verification method;
  • administrative tools;
  • account controls;
  • APIs or exports where available;
  • beta, pilot, experimental, or under-development features.

The Service is designed for informational, educational, research, and analytical use. It is not a professional advisory service.

4. Eligibility

You must be at least 18 years old, or the legal age required in your jurisdiction, to use the Service.

By using the Service, you represent that you meet the applicable age and capacity requirements and that your use of market information, exchange-related information, crypto-asset information, and financial analytics is lawful in your jurisdiction.

5. Accounts and Access

Where account functionality is available:

  • you are responsible for maintaining account security;
  • you must provide accurate information;
  • you are responsible for all activity under your account;
  • you must not share, sell, rent, transfer, or assign your account without written permission;
  • you must promptly notify the operator of unauthorized access.

The Service may operate under beta, pilot, whitelist, invitation-only, affiliate-gated, delayed-data, live-data, or admin-created access models. Public self-registration may be disabled or restricted.

The operator may approve, deny, suspend, revoke, limit, or terminate access for legal, regulatory, operational, security, payment, pilot, beta, affiliate, abuse-prevention, or policy reasons.

6. User Content

"User Content" means any content, files, identifiers, prompts, messages, feedback, data, URLs, Telegram messages, exchange-related identifiers, verification information, account information, uploaded materials, or other materials you submit to or create through the Service.

You retain ownership of your User Content, subject to these Terms.

You grant the operator a limited, non-exclusive, worldwide license to host, store, copy, process, transmit, extract, analyze, index, embed, summarize, retrieve, generate outputs from, display to you, use for access verification, export, delete, and otherwise use User Content as necessary to provide, secure, maintain, improve, and enforce the Service.

You represent and warrant that:

  • you have the necessary rights to submit and process your User Content;
  • your User Content does not violate applicable law or third-party rights;
  • your User Content does not contain malware, harmful code, or prohibited material;
  • your User Content does not contain material non-public information submitted for unlawful trading or market-abuse purposes;
  • you will not submit content that you are not authorized to process through the Service.

7. Market Data, Third-Party Data, and Derived Outputs

The Service may display, process, or derive outputs from market data, news data, YouTube data, exchange-related data, whitepapers, blockchain data, public data, third-party data, user-submitted data, and AI-generated content.

The operator does not guarantee that any data is accurate, complete, timely, real-time, uninterrupted, licensed for your separate use, or suitable for a specific purpose.

Service outputs may include charts, sentiment values, rankings, heatmaps, summaries, newsletters, forecasts, signals, model outputs, backtests, annotations, and AI responses ("Service Outputs").

You may use Service Outputs only in accordance with these Terms and applicable law. You must not resell, redistribute, sublicense, scrape, bulk copy, or commercially exploit restricted outputs without written permission.

8. AI Outputs and Model Limitations

The Service may generate AI-assisted outputs, including summaries, narratives, forecasts, sentiment interpretations, indicators, answers, source-based responses, or research materials.

AI outputs may be inaccurate, incomplete, outdated, biased, delayed, or affected by data limitations, missing sources, incorrect inputs, model limitations, retrieval errors, provider availability, or system degradation.

AI outputs are provided as informational research aids. They are not factual guarantees, professional conclusions, investment advice, trading advice, financial advice, tax advice, legal advice, or final determinations.

You are responsible for reviewing AI outputs, verifying important information independently, and deciding whether any output is useful or appropriate.

9. No Financial Advice, Brokerage, Exchange, Custody, or Fiduciary Duty

The Service does not provide:

  • financial advice;
  • investment advice;
  • tax advice;
  • legal advice;
  • accounting advice;
  • trading advice;
  • personalized recommendations;
  • brokerage services;
  • exchange services;
  • custody services;
  • order execution;
  • portfolio management;
  • managed accounts;
  • copy trading;
  • pooled investment products;
  • fiduciary services.

No relationship created by the Service is a fiduciary, advisory, broker-client, exchange-client, portfolio-management, tax-adviser, legal-adviser, or managed-account relationship.

Any decisions or actions taken based on the Service are solely your responsibility.

10. No Reliance and User Responsibility

You agree that you will not rely on Service Outputs, dashboards, signals, indicators, sentiment scores, forecasts, newsletters, summaries, backtests, live-trading displays, or AI responses as the sole basis for financial, investment, trading, tax, legal, compliance, business, or other important decisions.

You are solely responsible for:

  • independent verification;
  • obtaining qualified professional advice where needed;
  • complying with laws and regulations;
  • complying with exchange, broker, wallet, platform, and API terms;
  • managing accounts, passwords, API keys, wallets, orders, trades, positions, leverage, margin, and risk;
  • all trading, investing, tax, legal, operational, and financial consequences.

11. Trading, Crypto-Asset, and Derivatives Risk

Crypto-assets, derivatives, perpetual futures, leveraged products, and financial markets involve substantial risk.

You acknowledge that:

  • asset prices may be volatile;
  • liquidity may disappear;
  • exchanges and APIs may fail or become unavailable;
  • leverage may amplify losses;
  • you may lose some or all of your capital;
  • in some products or venues, losses may exceed initial capital;
  • tax and regulatory treatment may be uncertain or change;
  • past performance, backtests, simulations, and limited live results do not guarantee future outcomes.

12. Backtests, Forecasts, and Performance Displays

Backtests, simulations, forecasts, validation charts, paper-trading results, historical metrics, live-trading displays, and example performance metrics are provided for informational and research purposes only.

They may be affected by:

  • assumptions;
  • overfitting;
  • survivorship bias;
  • look-ahead bias;
  • data quality issues;
  • transaction cost assumptions;
  • slippage assumptions;
  • liquidity assumptions;
  • exchange outages;
  • market-regime changes;
  • implementation differences.

No performance display guarantees profits, loss avoidance, win rate, forecast accuracy, or future results.

13. Affiliate and Third-Party Services

The Service may reference or integrate with third-party services, including:

  • Bybit or other exchanges;
  • Telegram;
  • AI providers;
  • market-data providers;
  • news or social-media sources;
  • hosting providers;
  • database and storage providers;
  • payment providers;
  • Merchants of Record;
  • analytics, monitoring, infrastructure, backup, and security providers.

The operator is not responsible for third-party services, content, policies, outages, pricing, fees, trading terms, liquidation rules, leverage terms, data handling, security practices, or actions.

Your use of third-party services may be subject to their own terms and privacy policies.

References to any third party do not imply endorsement, partnership, guarantee, or responsibility unless expressly stated.

14. User Conduct

You agree not to:

  • use the Service for unlawful purposes;
  • violate applicable laws or regulations;
  • engage in market manipulation, insider trading, fraud, money laundering, sanctions evasion, terrorist financing, or other prohibited activity;
  • interfere with system integrity, security, or availability;
  • attempt unauthorized access to systems, data, accounts, files, APIs, or administrative functions;
  • upload malware, harmful files, corrupted content, prompt-injection payloads, or exploit payloads;
  • scrape, crawl, mirror, bulk download, or extract data without authorization;
  • misuse AI features or attempt to bypass safeguards;
  • submit content that infringes rights or violates privacy;
  • harass, abuse, threaten, defame, or harm others;
  • use the Service to surveil, profile, manipulate, or exploit another person;
  • submit false Bybit UID, exchange, affiliate, account, verification, billing, or access information;
  • resell or commercially exploit the Service without written permission.

Additional restrictions are stated in the Acceptable Use Policy.

15. Uploads, Files, and Context Processing

The Service may support uploads, submitted context, prompts, URLs, whitepapers, market documents, or other files where available.

The Service may validate files, restrict file types, apply parser limits, reject mismatches, cap extracted text, use timeouts, or block content for security or operational reasons.

The Service does not guarantee that every file, prompt, URL, or context item will upload, parse, ingest, extract, embed, summarize, retrieve, or process correctly.

You are responsible for ensuring that submitted materials are lawful, accurate, secure, and authorized for processing through the Service.

16. Data Controls

The Service may provide account controls or support processes for:

  • requesting access to data;
  • correcting account data;
  • exporting data;
  • deleting data;
  • closing an account.

Some information may remain where retention is required by law, tax, accounting, billing, security, fraud prevention, sanctions compliance, dispute resolution, backup integrity, or audit obligations.

17. Intellectual Property

The Service, including software, design, interface, workflows, systems, algorithms, models, prompts, charts, dashboards, indicators, documentation, branding, and non-user materials, is owned by or licensed to the operator.

Except as permitted by these Terms, you may not:

  • copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Service;
  • modify, adapt, translate, or create derivative works from the Service;
  • reverse-engineer, decompile, disassemble, or attempt to extract source code, prompts, embeddings, algorithms, architecture, security logic, trading logic, strategy parameters, or non-public system behavior;
  • remove copyright, trademark, or proprietary notices;
  • use Service content, design, name, branding, charts, signals, outputs, or screenshots to misrepresent affiliation or endorsement.

18. Service Availability

The Service is provided "as is" and "as available."

No guarantee is made that the Service will be uninterrupted, secure, error-free, accurate, compatible, timely, real-time, or available at any particular time.

The operator may:

  • modify, suspend, or discontinue the Service or any feature;
  • perform maintenance;
  • restrict access;
  • impose rate limits, usage limits, API limits, data limits, account limits, or AI-processing limits;
  • suspend access without prior notice for legal, regulatory, operational, security, abuse-prevention, payment, or policy reasons.

19. Subscriptions and Payments

If paid services are introduced or enabled:

19.1 Payment Processing

Payments may be handled by a third-party Merchant of Record or payment provider. Applicable details will be disclosed at checkout.

19.2 Pricing and Billing

Pricing, billing intervals, taxes, payment timing, renewal conditions, access conditions, and plan limits will be disclosed before purchase.

Subscriptions renew automatically unless canceled before renewal.

19.3 Cancellation

Cancellation must be available through a clear method, such as account settings, a billing portal, a Merchant of Record portal, Telegram @cryptohamsterchannel, or another method displayed at checkout.

Cancellation stops future billing but does not retroactively refund charges unless required by law or expressly stated.

19.4 Free Trials

Terms of any free trial will be disclosed. Automatic conversion to a paid subscription will be explicitly indicated where applicable.

20. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, statutory, or otherwise.

No representation or warranty is made regarding:

  • accuracy;
  • completeness;
  • reliability;
  • timeliness;
  • real-time availability;
  • security;
  • compatibility;
  • fitness for a particular purpose;
  • non-infringement;
  • data quality;
  • AI output quality;
  • signal quality;
  • indicator quality;
  • forecast quality;
  • sentiment quality;
  • backtest quality;
  • retrieval accuracy;
  • trading performance;
  • investment outcomes;
  • tax outcomes;
  • legal compliance outcomes;
  • continuity of service.

21. Limitation of Liability

To the fullest extent permitted by law, the operator shall not be liable for:

  • direct, indirect, incidental, consequential, special, exemplary, or punitive damages;
  • loss of data, profits, capital, revenue, business, opportunities, goodwill, reputation, market position, or access;
  • trading losses, investment losses, tax liabilities, liquidation events, margin calls, missed trades, missed opportunities, or exchange account issues;
  • decisions made based on the Service;
  • reliance on Service Outputs or AI outputs;
  • errors in data, sentiment, forecasts, indicators, summaries, charts, backtests, retrieval, AI responses, or live displays;
  • third-party service failures;
  • unauthorized access beyond reasonable control;
  • service interruption or data loss.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

22. Indemnification

You agree to indemnify and hold harmless the operator from any claims, damages, losses, liabilities, costs, and expenses arising from or related to:

  • your use of the Service;
  • your User Content;
  • your trading, investment, tax, legal, compliance, or operational decisions;
  • your exchange, broker, wallet, API, Telegram, or third-party account activity;
  • your violation of these Terms;
  • your violation of the Acceptable Use Policy;
  • your violation of applicable law;
  • your violation of third-party rights;
  • claims by third parties resulting from your actions, content, outputs, promotions, or decisions.

23. Termination

The operator may suspend or terminate your access at any time for:

  • violation of these Terms;
  • violation of related policies;
  • misuse of the Service;
  • security risk;
  • fraud risk;
  • payment risk;
  • legal or regulatory reasons;
  • operational reasons;
  • beta, whitelist, affiliate, or account-access reasons;
  • discontinuation of the Service.

Upon termination, your right to use the Service stops immediately. Data retention, export, erasure, and deletion rights remain subject to the Privacy Policy, applicable law, and technical feasibility.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, unless mandatory law requires otherwise.

Unless otherwise required by applicable law, disputes shall be subject to the jurisdiction of the courts of Japan.

25. Changes to These Terms

These Terms may be updated at any time. Updated versions will be published on the website, inside the Service, or through another reasonable notice method.

Continued use of the Service after an update constitutes acceptance of the updated Terms where permitted by law.
